At MemberShops, our mission is to provide an easy-to-use web-shop solution for publishing and selling digital products. We offer an e-commerce SaaS platform and plugin that transforms your WordPress site into a full-featured web-shop or membership site. Our software provides customers with essential functionality to publish and sell digital products, manage their store, accept payments, and grow their business.

Our website grants you a non-exclusive, limited license to use the MemberShops SaaS platform and related plugins sold through our website (https://membershops.com) (the “Products/Software”) in accordance with these Terms of Service (the “License”). This License is issued and operated by our company, ZINIC j.d.o.o. (“us,” “we,” “our,” or “MemberShops”).

Acceptable Use Policy

You agree not to use the Services in any manner or for any purpose that would violate, or have the effect of violating, any applicable laws, rules, or regulations, or any rights of third parties. This includes, but is not limited to, laws or rights regarding copyright, patent, trademark, trade secret, or other proprietary or property rights, false advertising, telemarketing, unfair competition, defamation, invasion of privacy, rights of celebrity, or any other federal or state law, rule, or regulation.

We acknowledge that our software can be used in ways beyond our control or prediction. We reserve the right to refuse our services (including licensing, priority support, and any affiliated services) to any organization or person at our sole discretion.

While you have the right to use the Products, you must not misuse them. For example, you are prohibited from deconstructing our Products to access the underlying source code, publishing content that promotes hate or violence, or violating others’ copyrights. You must not use the Products to distribute malware or infect other devices. Furthermore, any illegal use of the Products is strictly forbidden.

Refund Policy

If you experience difficulties with our products, we offer a full refund within 14 days of the original purchase. To request a refund, please contact us through https://membershops.com/contact.

Subscriptions, Updates, and Maintenance

An active subscription is required to download and use the latest version of the shop plugin. While an active subscription is not necessary for the software to function properly, it is required to access the latest versions and automatic updates.

Automatic updates are available to license holders with an active and valid subscription. If there are issues updating your plugin or if your host does not support automatic updates, plugin updates can be downloaded from your account area on our website.

To ensure the functionality and security of our Products, we regularly maintain and update them. Maintenance may be scheduled or unscheduled. In both cases, we strive to perform maintenance during times that minimally impact your business.

License Usage

MemberShops grants each customer one or more non-transferable license(s) to use the software or sell products via the MemberShops platform on the licensed domain.

You may not sublicense any rights to distribute the software or products to any person or entity. MemberShops will only provide services to the original license-holder for a licensed domain name and will consider any other uses as fraudulent.

Delivery

Upon successful processing of your payment, you will receive an email containing your account login details, order number, and other purchase information. If you do not receive this email, please contact us at https://membershops.com/contact to request your purchase information.

Your licensed domains are managed in your account area along with your plugin downloads.

If you have purchased the plugin only:

You can download the plugin by logging into your account and clicking on the appropriate link. Access to re-download purchased files will be granted as long as your yearly subscription is valid. If a subscription expires, download access to the associated files will be discontinued until the subscription is renewed.

If you have purchased a ready-made shop or membership site:

Your shop will be installed within 48 hours on the licensed domain after receiving the hosting panel details and aMember license key. Please note that this 48-hour timeframe does not include weekends; our working hours are Monday to Friday. We reserve the right to extend this to 72 hours in case of unforeseen issues. If installation takes more than 72 hours for any reason, we will issue you a full refund upon request.

Once the licensed shop has been installed, the shop domain cannot be changed without a re-installation. If you wish to change the domain, this task will be subject to development fees depending on the complexity of the shop and the time required to complete the task.

Support

Support and updates are granted for one year after the original purchase. After one year, the purchaser must renew their membership to continue receiving support and updates for the items purchased. For purchases that include an automatically renewing subscription, support will be provided for as long as the subscription remains active.

ZINIC sells and distributes the MemberShops platform and WordPress plugins “as is” with no implied guarantee that they will function exactly as you desire or that they will be compatible with all third-party components and plugins. We do not provide support services for WordPress itself or for any WordPress plugins that we have not developed. While we may assist with minor issues that arise, for more complex problems, you will need to contact the plugin developers directly.

Support for plugins sold and distributed by MemberShops is only available to those with an active, paid license.

We provide instruction and/or supporting documentation regarding setup, configuration, and technical troubleshooting as it pertains to our products. We do not provide support for third-party integrations and may ask you to disable these add-ons to better assist you. Requests for customizations, development assistance, or guidance on altering the functionality of a product outside of its intended use are subject to hourly fees and depend on our availability.

Support and updates for plugins are provided as long as the plugin is actively in development. ZINIC will no longer be responsible for providing support for the plugin if any of the following occur:

  • MemberShops (the plugin) is no longer actively developed as a viable product under ZINIC j.d.o.o.
  • MemberShops (the plugin) or the parent company is purchased or bought out by another company.
  • WordPress is no longer actively developed.

While we strive to provide the best support possible for our plugins, we do not guarantee that any particular support query can or will be answered to the extent or within a timeframe that fully satisfies the inquirer.

License holders cannot distribute, freely give away, or resell their license. The license is only transferable by contacting us and requesting an official transfer to a new owner. The license is intended to be used on the license holder’s domain(s). Only the license holder is permitted to request support or access support resources.

Your Responsibilities

As the shop owner, you are responsible for managing your store, which includes but is not limited to the following:

  • Managing your clients’ data and payments
  • Providing technical support to your customers
  • Taking care of shop backups

Hosting and Shop Backup

We will install and configure the shop on a hosting account of your choice. It is your responsibility to choose a hosting company, purchase an account, and provide us with access. We can suggest companies we have worked with, but the final decision is yours. Regardless of which hosting company you choose, it is your responsibility to maintain your hosting account; we are not involved after the shop has been installed.

Your interactions with your hosting company are governed by the terms and conditions imposed by that company. You or your hosting company are responsible for backing up your hosting account, including your shop data and files. Any disputes arising regarding hosting services must be resolved directly between you and the hosting company.

Site Content and Ownership

You may not claim intellectual or exclusive ownership rights to any of our products. All products are the property of MemberShops and its subsidiaries.

All site content, including imagery and documentation published on membershops.com, plr.pub, and their subdomains, is the property of MemberShops. Any replicated site content must be authorized in advance. Content from this site shall not be used or exploited for commercial or non-commercial purposes without the prior written consent of MemberShops.

Disclaimer and Warranty

ZINIC products are provided “as is” without warranty of any kind, expressed or implied. We shall not be liable for any damages, including but not limited to, direct, indirect, special, incidental, or consequential damages or losses that occur out of the use or inability to use our products or support.

Our plugins are guaranteed to function on a clean installation of WordPress. We do not guarantee they will function with all third-party plugins or with all web browsers. We are not responsible for any WordPress plugin compatibility conflicts that may occur or any issues that may arise as a result, including technical problems or product failures. It is our policy to support our plugins to the best of our ability, and we will provide support for third-party plugin conflicts at our discretion or as time allows. We are not responsible for any data loss or other damages that may occur as a result of installing our plugins or using the MemberShops platform.

ZINIC SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, CONSEQUENTIAL, OR INCIDENTAL DAMAGES INCLUDING, WITHOUT LIMITATION, LOST PROFITS OR REVENUES, COSTS OF REPLACEMENT GOODS, OR LOSS OR DAMAGE TO DATA ARISING OUT OF THE USE OR INABILITY TO USE THIS SITE OR ANY RELATED SERVICES OR CONTENT, OR DAMAGES RESULTING FROM USE OF OR RELIANCE ON THE INFORMATION PRESENT.

ZINIC DOES NOT GUARANTEE AND DOES NOT PROMISE ANY SPECIFIC RESULTS FROM USE OF THE SITE OR ANY RELATED SERVICES OR CONTENT.

ALL USE OF THIS SITE, MEMBERSHOPS SOFTWARE AND PLUGINS IS AT YOUR OWN RISK.

Indemnity

You agree to indemnify and hold harmless ZINIC for any third-party claims, actions or suits, as well as any related expenses, liabilities, damages, settlements, or fees arising from your use or misuse of our software, or a violation of any terms of this license.

User Content, Privacy, and Intellectual Property

You cannot post, modify, distribute, or reproduce copyrighted or other proprietary materials in any way without obtaining prior written consent from the copyright owner.

MemberShops respects the intellectual property rights of others. We do not condone the unauthorized reproduction or distribution of third-party intellectual property. If a Customer or visitor believes that their work has been reproduced or distributed in a way that constitutes intellectual property infringement, or if they are aware of any infringing material available through the MemberShops platform, they may have recourse under MemberShops’ Intellectual Property Infringement Policy, located at Copyright Infringement page.

If you provide us with any feedback or ideas, you authorize MemberShops to use your feedback for any purpose, without any restriction or limitation.

Compliance and Prohibited Actions

You and your clients may not use any software, devices, scripts, crawlers, robots, or other automated processes to copy, scrape, or systematically acquire any content contained on MemberShops shops and servers.

To protect the integrity of the Services, MemberShops reserves the right, at any time and in its sole discretion, to block users from certain IP addresses from accessing the Services. You may not use any technologies or processes to circumvent any IP blocks or other mechanisms put in place by MemberShops to limit, restrict, or prevent access to the Services.

You may not frame or mirror any MemberShops website or content without the express written consent of MemberShops.

Acceptance

By purchasing any of our products, you indicate that you have read and agreed to the Terms & Conditions detailed above.

Although most changes are likely to be minor, MemberShops may change its Terms & Conditions from time to time at its sole discretion. MemberShops encourages visitors to frequently check this page for any changes to its Terms & Conditions. Your continued use of this site after any change in these Terms & Conditions will constitute your acceptance of such changes.

Agreement to Governing Law and Jurisdiction

If there is any dispute between you and MemberShops about or involving this Agreement, the Site, or the Services, you hereby agree that the dispute shall be governed by and construed in accordance with the laws of Croatia, without regard to its conflict of law provisions.

You hereby agree to submit to the exclusive jurisdiction of the courts in Zagreb, Croatia, with respect to any claim, proceeding, or action relating to or otherwise arising out of this Agreement, the Site, or the Services, howsoever arising, provided always that MemberShops may seek and obtain injunctive relief in any jurisdiction.
